Abstract

Právo společníka na informace v kapitálových obchodních korporacích Abstrakt Rigorózní práce pojednává o jednom z nejzákladnějších a zároveň nejvýznamnějších práv každého společníka obchodní korporace, a to o právu na informace. Cílem této práce je popis institutu práva na informace v poměrech kapitálových obchodních korporacích, tedy ve společnosti s ručením omezeným a ve společnosti akciové. Práce se zaměřuje zejména na podstatu tohoto institutu a principy jeho fungování, přičemž zdůrazňuje rozdíly právní úpravy v rámci jednotlivých forem kapitálových korporací a důvody, ze kterých tyto odlišnosti pramení. Zároveň je cílem této práce odpovědět na otázku, jaké jsou limity práva na informace, tedy jaké informace, a za jakých podmínek, jsou společnosti společníkům povinny poskytnout a jaké už nikoliv. Tato práce je rozdělena do pěti kapitol. První kapitola je obecným úvodem do tématu, jejímž cílem je nastínit podstatu institutu práva na informace a jeho význam. Druhá kapitola je zaměřena na právní úpravu práva na informace ve společnostech s ručením omezeným. Je v ní pojednáno zejména o podmínkách uplatnění práva na informace, včetně požadavků na žádost společníka o poskytnutí informací, o kritériu potřebnosti požadovaných informací, či o důvodech pro odmítnutí poskytnutí informací. Shareholder's Right to Information in Capital Business Corporations Abstract This thesis deals with one of the most fundamental and most important rights of every shareholder of a business corporation, the right to information. The aim of this thesis is to provide a description of this institute in capital business corporations, i.e. in a limited liability company and a joint stock company. This thesis focuses on the nature of the right to information and the principles of its functioning while highlighting the differences between the regulation within the different forms of capital business corporations as well as the reasons underlying such differences. Most importantly, the aim of this thesis is to find the limits of the right to information, i.e. which information, and under what conditions, are companies obliged to provide to their shareholders and which information they may withhold. This thesis is divided into five chapters. The first chapter is a general introduction to the topic, the aim of which is to describe the nature of the institute of the right to information and its significance.
