Péče řádného hospodáře

Abstract

Ve své diplomové práci se zabývám problematikou související s pojmem péče řádného hospodáře, jenž tvoří základní požadavek na míru kvality péče v českých společnostech. Práce je členěna do devíti kapitol. První kapitola přináší úvod do problematiky, kdy uvádím, proč jsem si dané téma vybral, proč považuji dané téma za důležité a stanovuji cíle své práce. Na závěr se krátce zmiňuji o metodách, které jsem při psaní této práce použil. Ve druhé, nejobsáhlejší kapitole se věnuji péči řádného hospodáře jako pojmu, kdy se pokouším tento pojem vymezit a vysvětlit a legislativně zařadit, a to jak v rámci obchodního zákoníku, tak v rámci ostatních právních předpisů. Dále se věnuji osobám, jimž je povinnost spravovat záležitosti společnosti s péčí řádného hospodáře uložena. Zmíněn je rovněž historický vývoj pojmu. V dle mého názoru nejstěžejnější části práce vymezuji pak pojem péče řádného hospodáře vůči pojmu náležitá péče a pojmu odborná péče a podřazuji tyto pojmy pod jednotlivé modely stanovení požadavku na míru kvality péče. Ve třetí kapitole se krátce věnuji problematice porušení péče řádného hospodáře a následkům takovéhoto porušení. This thesis is dealing with problems connected with the term The care of proper manager, that forms the basic requirement of quality of work margin in czech companies. The content is divided into nine chapters. The first chapter brings an introduction into the dilemma. It is stated here why have I chosen this topic, why do I consider this topic to be important and I am laying down the aims of my thesis. In the end, there are mentioned the methods which has been used while writting this thesis. The second chapter, the most extensive one, is focused on Proper manager' s care as a term. It is trying to define, describe and file this term legislatively; not only in terms of company law, but also in the scope of other legal enactments. Then the work focuses on subjects on which is laid the duty of conducting issues with Proper manager's care. Then there is mentioned the historical evolution of this term. In, according to my opinion, the most important part of this thesis; the term Proper manager's care is determined in comparison with the terms Appropriate care and Professional care.
